IMPORTANT NOTICE: THESE TERMS CONTAIN AN ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER IN SECTION 18 THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ CAREFULLY.
1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of the Bitcitizen website located at bitcitizen.io and any related pages, forms, or features (collectively, the "Website"), and any content, tools, or services made available through the Website. The Website is operated by Bitcitizen LLC ("Bitcitizen," "we," "us," or "our").
By accessing or using the Website, clicking "I agree" or a similar button, checking a box indicating acceptance, or otherwise affirmatively accepting these Terms, you agree to be bound by these Terms. If you do not agree, do not use the Website.
2. Related Policies; Document Hierarchy
These Terms are part of a legal framework that includes four documents:
- These Terms of Service (the master agreement for Website access, use, and dispute resolution);
- Our Legal Disclaimer (service-specific disclaimers, limitations, and disclosures that supplement these Terms);
- Our Privacy Policy (which controls for all privacy and data-handling matters); and
- Our Cookie Policy (which controls for all cookie and tracking technology matters).
Each of these documents is incorporated by reference and updated from time to time. Together, they form the complete legal framework governing your use of the Website. In the event of a conflict:
- These Terms control for matters relating to Website access and use, acceptable conduct, fees, intellectual property, liability, indemnification, dispute resolution, and governing law.
- The Privacy Policy controls for matters relating to the collection, use, sharing, retention, and protection of personal information.
- The Cookie Policy controls for matters relating to cookies and similar tracking technologies.
- The Legal Disclaimer provides additional service-specific disclaimers (including no-advice, no-guarantee, and program-specific disclosures) that supplement these Terms.
- Any written engagement agreement for specific Services will control to the extent it conflicts with these Terms or the Legal Disclaimer for those Services.
3. Services; Engagement Agreements Control
Bitcitizen provides services that may be marketed or delivered under brand names including BitWY and 21 CBI (collectively, "Services"). If you purchase Services, you may be required to accept additional terms (including click-to-accept terms) and/or sign a written engagement agreement. Any written engagement agreement governs the specific Services you purchase and will control to the extent it conflicts with these Terms. See the Legal Disclaimer for detailed service-specific disclosures regarding LLC formation, citizenship-by-investment programs, and cryptocurrency payments.
4. No Professional Advice; No Attorney-Client Relationship
The Website content is provided for general informational purposes only and does not constitute legal, tax, immigration, financial, investment, or accounting advice. Bitcitizen is not a law firm and does not provide legal advice. Use of the Website, communicating with us, or purchasing Services does not create an attorney-client relationship unless you have a separate written engagement agreement with a licensed attorney. See the Legal Disclaimer (Sections 1 and 3) for additional detail.
5. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Website or purchase Services. By using the Website, you represent that you meet these requirements.
6. Communications; No Confidentiality
Communications through the Website, email, chat, messaging apps, or scheduling tools may not be secure and may not be treated as confidential. Do not send sensitive personal information (such as passport scans, bank details, private keys, seed phrases, or full account numbers) unless and until we provide you with a secure method for transmission.
7. Acceptable Use; Prohibited Conduct
You agree not to:
- (a) use the Website for any unlawful purpose or in violation of any applicable law or regulation;
- (b) attempt to gain unauthorized access to the Website, systems, or user accounts;
- (c) interfere with or disrupt the Website or security features;
- (d) upload or transmit malware, scripts, or harmful code;
- (e) scrape, harvest, or collect personal information or content from the Website without permission;
- (f) misrepresent your identity or provide false information; or
- (g) use the Website in a way that could reasonably be expected to harm Bitcitizen, our users, or third parties.
We may suspend or terminate access to the Website or Services at any time for any violation of these Terms or where we reasonably believe it is necessary to protect the Website, our users, or our legal interests. If we terminate your access to the Website or Services due to your violation of these Terms, you are not entitled to a refund of any fees paid, and any pending Services may be canceled at our discretion.
8. User Submissions
If you submit information through the Website (including via forms, inquiries, scheduling, or uploads), you represent that the information is accurate to the best of your knowledge and that you have the right to provide it. You grant Bitcitizen a limited license to use your submission solely to respond to you, provide requested information, and (if applicable) deliver Services, consistent with our Privacy Policy.
9. Third-Party Websites and Tools
The Website may include links to or integrations with third-party tools (for example, scheduling providers, payment processors, analytics, and social platforms). We do not control third parties and are not responsible for their content, terms, privacy practices, availability, or security. Your use of third-party services is at your own risk and subject to the third party's terms. See also Section 13 of the Legal Disclaimer.
10. Fees, Payments, and Refunds
Fees for Services (if any) will be disclosed before purchase or in an engagement agreement. Unless a written engagement agreement states otherwise, all fees are non-refundable once work has begun and third-party costs (including government fees, due diligence fees, registered agent fees, translations, apostilles, and courier services) are separate and may be non-refundable. See the Legal Disclaimer (Sections 6 and 8) for additional detail regarding third-party costs and CBI program refund terms.
11. Cryptocurrency Payments
Bitcitizen primarily accepts payment in Bitcoin (BTC) and stablecoins (USDT/USDC). Additional payment methods, if any, will be specified at the time of invoicing. Cryptocurrency transactions are generally irreversible. You are responsible for confirming the correct network, token, and address before sending any payment. We do not provide custody, escrow, exchange, or money-transmission services unless expressly agreed in a written engagement agreement. See the Legal Disclaimer (Section 10) for additional terms governing cryptocurrency payments.
12. Sanctions, AML/KYC, and Right to Refuse Service
We may require identity verification, source-of-funds information, and other compliance documentation. We may refuse, pause, or terminate access to the Website or Services where required by law, program rules, due diligence findings, or internal compliance policies. We do not provide Services to individuals or entities subject to applicable sanctions, embargoes, or other legal restrictions.
13. Intellectual Property
The Website and all content, designs, text, graphics, logos, and software are owned by or licensed to Bitcitizen and are protected by intellectual property laws. Subject to these Terms, Bitcitizen grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal or internal business use. You may not copy, reproduce, distribute, or create derivative works from the Website content without our prior written permission, except as permitted by law.
14. Disclaimer of Warranties
THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, BITCITIZEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BITCITIZEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE OR SERVICES, INCLUDING RELIANCE ON CONTENT, THIRD-PARTY ACTIONS, DATA TRANSMISSION ISSUES, OR GOVERNMENT DECISIONS.
TO THE EXTENT BITCITIZEN IS FOUND LIABLE FOR ANY CLAIM, OUR AGGREGATE LIABILITY WILL NOT EXCEED THE FEES ACTUALLY PAID TO BITCITIZEN FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, TO THE EXTENT PERMITTED BY LAW.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such jurisdictions, Bitcitizen's liability will be limited to the greatest extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under the Wyoming Consumer Protection Act (Wyo. Stat. §40-12-101 et seq.) or other mandatory consumer protection legislation.
This limitation of liability is consistent with, and is intended to be read together with, Section 15 of the Legal Disclaimer.
16. Indemnification
You agree to indemnify, defend, and hold harmless Bitcitizen and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Website; (b) your engagement of the Services; (c) your violation of these Terms or the Legal Disclaimer; (d) your submission of inaccurate or unlawful information; or (e) your violation of any applicable law or the rights of any third party.
17. Governing Law
These Terms and any disputes arising out of or relating to these Terms, the Website, or the Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. This governing law provision applies across all four documents in the Bitcitizen legal framework (these Terms, the Legal Disclaimer, the Privacy Policy, and the Cookie Policy).

17. Governing Law
These Terms and any disputes arising out of or relating to these Terms, the Website, or the Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. This governing law provision applies across all four documents in the Bitcitizen legal framework (these Terms, the Legal Disclaimer, the Privacy Policy, and the Cookie Policy).
18. Dispute Resolution; Arbitration; Exclusive Jurisdiction; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
18.1 Informal Resolution First
Before initiating any legal proceeding or arbitration, you agree to first contact us and provide a brief written notice describing the dispute and the relief requested ("Notice of Dispute"). Send the Notice of Dispute to contact@bitcitizen.io (or by mail to: Bitcitizen LLC, 30 N Gould St, Ste R, Sheridan, WY 82801) and include your name, email, and sufficient information to understand the dispute. We will attempt to resolve the dispute informally within sixty (60) days after receiving your Notice of Dispute.
18.2 Binding Arbitration
If a dispute cannot be resolved informally within the sixty (60) day period described in Section 18.1, either party may elect to resolve the dispute by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. Arbitration shall be conducted by a single arbitrator. The arbitration shall take place in the State of Wyoming, or, at the election of the claimant, may be conducted by videoconference or telephone if permitted by the AAA Rules.
The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including whether a claim is subject to arbitration. The arbitrator may award the same relief that a court of competent jurisdiction could award, including injunctive or declaratory relief, but only to the extent required to satisfy the individual claim.
Payment of arbitration fees shall be governed by the AAA's fee schedule. If the arbitrator finds that either the substance of your claim or the relief sought is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all arbitration fees shall be governed by the AAA Rules and each party shall bear its own attorneys' fees.
The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
18.3 Exceptions to Arbitration; Fallback Jurisdiction
The following disputes are exempt from the arbitration requirement: (a) individual claims brought in small claims court, provided the claim qualifies and remains in small claims court; and (b) claims seeking temporary or preliminary injunctive relief to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information, which may be brought in a court of competent jurisdiction.
For any dispute not subject to arbitration under this Section 18, or where arbitration is found to be unenforceable, any legal action or proceeding shall be brought exclusively in the state or federal courts located in the State of Wyoming, United States. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum or lack of jurisdiction.
18.4 Class Action Waiver
YOU AND BITCITIZEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
18.5 Waiver of Jury Trial
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND BITCITIZEN EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, THE SERVICES, OR ANY DOCUMENT IN THE BITCITIZEN LEGAL FRAMEWORK.
18.6 Time Limit to Bring Claims
To the fullest extent permitted by law, any claim or cause of action arising out of or relating to these Terms, the Website, the Services, or any document in the Bitcitizen legal framework must be brought within one (1) year after the claim accrues, otherwise it is permanently barred. This limitation period does not apply to the extent prohibited by applicable law, including claims arising under data protection laws (such as the GDPR or UK GDPR) that provide for longer limitation periods, or claims under the Wyoming Consumer Protection Act where a longer statutory period applies.
18.7 Costs
Unless otherwise ordered by a court or arbitrator, each party shall bear its own costs and attorneys' fees in any dispute arising under or relating to these Terms.
18.8 Severability of Dispute Resolution Provisions
If any portion of this Section 18 is found to be unenforceable, the unenforceable portion will be severed and the remainder will be enforced, except that if the Class Action Waiver in Section 18.4 is found unenforceable as to a particular claim, then that claim (and only that claim) must be severed from any class proceeding and brought individually in either arbitration (if applicable) or the courts identified in Section 18.3.
19. Force Majeure
Bitcitizen shall not be liable for any delay or failure to perform any obligation under these Terms or in connection with the Services where the delay or failure results from any cause beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions or orders, sanctions, embargoes, changes in law or regulation, changes to government programs, blockchain network congestion or failure, internet outages, power failures, labor disputes, third-party service provider failures, or delays by government agencies in processing filings or applications. In the event of a force majeure event, Bitcitizen's obligations will be suspended for the duration of the event, and applicable deadlines will be extended accordingly.
20. Notices
Any notice required or permitted under these Terms shall be in writing. Notices to Bitcitizen must be sent by email to contact@bitcitizen.io or by mail to: Bitcitizen LLC, 30 N Gould St, Ste R, Sheridan, WY 82801. Notices to you will be sent to the email address you provided in connection with your use of the Website or Services. Notices are deemed received when delivered by email (upon transmission) or by mail (three business days after deposit in the U.S. mail, postage prepaid).
21. Assignment
You may not assign or transfer your rights or obligations under these Terms without Bitcitizen's prior written consent. Bitcitizen may assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. In the event of any assignment that results in a change of control of Bitcitizen, we will make reasonable efforts to notify you of such change. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.
22. Survival
The following provisions of these Terms shall survive any termination or expiration of your access to the Website or Services: Sections 4 (No Professional Advice), 8 (User Submissions), 10 (Fees, Payments, and Refunds), 11 (Cryptocurrency Payments), 12 (Sanctions, AML/KYC, and Right to Refuse Service), 13 (Intellectual Property), 14 (Disclaimer of Warranties), 15 (Limitation of Liability), 16 (Indemnification), 17 (Governing Law), 18 (Dispute Resolution), 19 (Force Majeure), 21 (Assignment), this Section 22, and Section 23 (Entire Agreement), as well as any provisions of the Legal Disclaimer, Privacy Policy, or Cookie Policy that by their nature should survive.
23. Entire Agreement
These Terms, together with the Legal Disclaimer, Privacy Policy, Cookie Policy, and any written engagement agreement you enter into for specific Services, constitute the entire agreement between you and Bitcitizen with respect to the subject matter hereof and supersede all prior or contemporaneous oral or written understandings, representations, or agreements. No oral or written statement not expressly contained in these documents or a signed engagement agreement shall create any obligation on the part of Bitcitizen.
24. Severability; No Waiver
If any provision of these Terms is held to be invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force and effect. Failure to enforce any provision is not a waiver of that provision.
25. Changes to These Terms
We may modify these Terms at any time. Changes are effective upon posting to the Website. The "Last updated" date reflects the most recent revision. Your continued use of the Website after changes become effective constitutes acceptance.
For material changes that significantly affect your rights under these Terms (including changes to dispute resolution, arbitration, liability, indemnification, or governing law provisions), we will make reasonable efforts to notify you (for example, by email or by a prominent notice on the Website) before the changes take effect.
