This Disclaimer is part of a legal framework that includes four documents: these are (1) this Legal Disclaimer, (2) our Terms of Service, (3) our Privacy Policy, and (4) our Cookie Policy. These documents are designed to work together and should be read as a whole. The Terms of Service is the master agreement governing your access to and use of the Website and establishes the dispute resolution and governing law provisions that apply across all four documents. This Disclaimer provides service-specific disclaimers, limitations, and disclosures that supplement the Terms of Service. The Privacy Policy and Cookie Policy control for all privacy, data-handling, and cookie matters, respectively.

 

By accessing or using the Website, you agree to this Disclaimer and all related policies. If you do not agree, do not use the Website. If you purchase Services, you may also be required to accept additional terms (including a written engagement agreement and/or click-to-accept terms) that govern the specific Services you purchase; in the event of a conflict, the applicable written engagement agreement will control for those Services.

 

1. General Information Only (No Professioal Advice)

 

The Website content is provided for eneral informational purposes only. Nothing on the Website constitutes legal, tax, immigration, financial, investment, or accounting advice, nor should it be relied upon as such. The information presented is not intended to be a substitute for professional advice from qualified professionals licensed in your jurisdiction.

 

You should not act or refrain from acting based on any information on the Website without first seeking appropriate professional counsel tailored to your specific circumstances.

 

2. Communications; No Confidentiality

 

Communications through the Website, email, chat, messaging apps, or scheduling tools may not be secure and may not be treated as confidential. Do not send sensitive personal information (such as passport scans, bank details, private keys, seed phrases, full account numbers, or other high-risk data) unless and until we provide you with a secure method for transmission.

 

3. Bitcitizen Is Not a Law Firm; No Attorney-Client Relationship

 

Bitcitizen LLC is not a law firm and does not provide legal advice. Unless you have separately entered into a written engagement agreement with a licensed attorney, no attorney-client relationship is created by your use of the Website, by communicating with us, or by engaging our Services.

 

Our LLC formation and compliance services (offered through BitWY) generally involve preparing and filing organizational documents based on information you provide, coordinating with registered agents, and interacting with state filing offices. We do not render legal opinions regarding the suitability of any entity structure, operating agreement provisions, tax elections, or compliance strategies for your situation.

 

Our citizenship-by-investment and residency services (offered through 21 CBI) generally involve coordinating and facilitating applications within government-administered programs. We are not immigration attorneys. Where required by a jurisdiction, we work with licensed agents, local counsel, or other authorized service providers.

 

4. No Fiduciary Duty; No Authority to Bind; No Government Representation

 

Bitcitizen does not act as your fiduciary. Except as expressly stated in a written engagement agreement, we do not act as your agent with authority to bind you, and we are not a government representative or decision-maker. All approvals, eligibility determinations, and benefits are granted solely by the relevant government authorities.

 

5. Eligibility; Intended Audience

 

The Website and Services are intended for adults. By using the Website or engaging our Services, you represent that you are at least 18 years old and have the legal capacity to enter into binding agreements. This is consistent with Section 5 of the Terms of Service.

 

6. Third-Party Providers, Program Rules, and Government Fees

 

Many Services necessarily involve third parties (including registered agents, filing offices, local counsel, licensed CBI agents, due diligence providers, banks, payment processors, translation/apostille providers, and courier/shipping services). Third parties may impose their own terms, fees, timelines, and refund rules. Bitcitizen is not responsible for the acts, omissions, decisions, or delays of any third party or government authority, even if we introduce, coordinate, or transmit information to them on your behalf.

 

Unless expressly stated otherwise in writing, government fees, due diligence fees, and other third-party costs are separate from Bitcitizen's fees and may be non-refundable.

 

7. No Guarantees of Outcome

 

Bitcitizen does not guarantee any specific outcome from use of the Website or Services. This includes, without limitation:

 

  • Approval of any citizenship-by-investment or residency application (which is subject to due diligence and government discretion);
  • Any particular tax outcome, privacy outcome, banking outcome, or asset-protection result for any entity;
  • Continued availability, pricing, terms, or benefits of any government program (which may be changed, suspended, or terminated at any time);
  • Visa-free travel access (which is set by destination countries and may change);
  • Processing timelines (which are controlled by government agencies and third parties).

 

8. Citizenship-by-Investment and Residency Programs; No Investment Solicitation

 

Programs described on the Website are administered by the governments of those countries. Program details (fees, thresholds, timelines, and benefits) are provided based on publicly available information and our understanding at the time of publication and may change at any time without notice.

 

Where the Website describes "Coming Soon" or not-yet-launched programs, any information is preliminary. Final program terms may differ materially. Bitcitizen assumes no liability for changes to programs that have not yet opened for applications.

 

If any program involves an investment (such as real estate, funds, or business investments), Bitcitizen does not provide investment recommendations, does not act as a broker-dealer, and does not guarantee investment performance, resale value, liquidity, or returns. Nothing on the Website is an offer to sell, or a solicitation of an offer to buy, any security or investment product.

 

Applicants who are denied under any program may not be entitled to refunds of government fees, due diligence fees, or other third-party costs. Refund terms vary by jurisdiction and will be described in writing (in a program document and/or engagement agreement) before payment is made.

 

9. LLC Formation and Compliance

 

Wyoming LLC formation and compliance services provided through BitWY may include preparing and filing Articles of Organization and related organizational materials and (where included) arranging registered agent service. Forming an LLC does not guarantee asset protection, tax benefits, privacy, or legal compliance in all circumstances.

 

You are solely responsible for (i) the accuracy and completeness of information you provide, and (ii) meeting all ongoing obligations, including annual reports, tax filings, Beneficial Ownership Information (BOI) reporting under FinCEN rules (as may be required under applicable law, as it may be amended or interpreted from time to time), and any other regulatory requirements. Where Bitcitizen provides compliance assistance, it is performed based on the information you provide, and we are not responsible for penalties or consequences arising from inaccurate, incomplete, or untimely information.

 

10. Cryptocurrency Payments; No Custody; No Escrow; No Money Transmission

 

Bitcitizen primarily accepts payment in Bitcoin (BTC) and stablecoins (USDT/USDC). Additional payment methods, if any, will be specified at the time of invoicing. By paying in cryptocurrency, you acknowledge and accept:

 

  • Cryptocurrency transactions are generally irreversible. We are not responsible for funds sent to an incorrect address, wrong asset, or incompatible network.
  • You are responsible for confirming the correct network, token, and address before sending any payment.
  • Exchange rates may fluctuate between invoicing and confirmation. Unless otherwise agreed in writing, payments are valued at the exchange rate at the time the transaction is confirmed on the relevant network.
  • You are responsible for any tax reporting obligations arising from using cryptocurrency (including potential capital gains reporting).
  • Bitcitizen does not provide custody, wallet management, escrow, exchange, or money-transmission services. We do not hold client funds in cryptocurrency on an ongoing basis unless expressly agreed in a written engagement agreement.

 

11. Sanctions, AML/KYC, and Right to Refuse or Terminate Service

 

We may require identity verification, source-of-funds information, and other compliance documentation, and we may refuse, pause, or terminate Services where required by law, program rules, due diligence findings, or internal compliance policies. We do not provide Services to individuals or entities subject to applicable sanctions, embargoes, or other legal restrictions.

 

12. Privacy, Cookies, and Data Handling

 

We maintain separate Privacy Policy and Cookie Policy documents that describe how we collect, use, share, and store personal information and how cookies and similar technologies are used on the Website. Those policies are incorporated by reference to the extent permitted by law. If there is any inconsistency between this Disclaimer and those policies regarding privacy, data handling, or cookies, the Privacy Policy and Cookie Policy control for those respective matters.

 

You acknowledge that no internet transmission is 100% secure. While we take reasonable measures designed to protect information, we cannot guarantee absolute security.

 

13. Third-Party Links and Tools

 

The Website may contain links to third-party websites or tools (including scheduling and social media). Links are provided for convenience only. Bitcitizen does not control or endorse third-party content and is not responsible for third-party terms, privacy practices, availability, or security. See also Section 9 of the Terms of Service.

 

14. Accuracy; "As-Is" / "As-Available"; No Warranties

 

We make reasonable efforts to keep Website information accurate and current; however, we do not warrant or guarantee accuracy, completeness, or timeliness. The Website, its content, and the Services are provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. See also Section 14 of the Terms of Service.

 

15. Limitation of Liability

 

The limitation of liability provisions set forth in Section 15 of the Terms of Service apply in full to all claims arising under or relating to this Disclaimer and are incorporated herein by reference. To the extent of any conflict between this Section 15 and Section 15 of the Terms of Service, the Terms of Service shall control.

 

Nothing in this Disclaimer excludes or limits liability that cannot be excluded or limited under applicable law, including under the Wyoming Consumer Protection Act (Wyo. Stat. §40-12-101 et seq.) or other mandatory consumer protection legislation.

 

16. Indemnification

 

You agree to indemnify, defend, and hold harmless Bitcitizen LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Website; (b) your engagement of the Services; (c) your violation of the Terms of Service or this Disclaimer; (d) your submission of inaccurate or unlawful information; or (e) your violation of any applicable law or the rights of any third party. See also Section 16 of the Terms of Service.

 

17. Intellectual Property

 

All content on the Website, including text, graphics, logos, and design elements, is owned by or licensed to Bitcitizen and is protected by intellectual property laws. The Terms of Service (Section 13) grants you a limited license to access and use the Website. You may not reproduce, distribute, or create derivative works from Website content beyond the scope of that license without our prior written permission, except as permitted by law.

 

18. Governing Law and Dispute Resolution

 

This Disclaimer is governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. The dispute resolution, arbitration, forum selection, class action waiver, jury trial waiver, cost allocation, and time-limit-to-bring-claims provisions set forth in Sections 17 and 18 of the Terms of Service apply to any disputes arising under or relating to this Disclaimer, and are incorporated herein by reference.

 

19. Severability; No Waiver

 

If any provision of this Disclaimer is held to be invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force and effect. Failure to enforce any provision is not a waiver of that provision.

 

20. Changes to This Disclaimer

 

Bitcitizen may modify this Disclaimer at any time. Changes are effective upon posting. The "Last updated" date reflects the most recent revision. Continued use of the Website or Services after changes constitutes acceptance.

 

For material changes that significantly affect your rights under this Disclaimer (including changes to liability limitations, indemnification, or service-specific disclosures), we will make reasonable efforts to notify you (for example, by email or by a prominent notice on the Website) before the changes take effect.
